By submitting a wholesale order to Uvolve, you agree to the terms set out below. These terms apply to every wholesale order placed with us, whether through email or any other channel we make available.

1. Who these terms cover
In these terms, "Uvolve," "we," "us," and "our" refer to Uvolve Pty Ltd, trading as Uvolve. "Retailer," "you," and "your" refer to the business placing a wholesale order with us. "Products" means the range of Uvolve branded products made available for wholesale, along with any future products we add to the range.

2. Becoming an approved wholesaler
To place a wholesale order, contact our wholesale team to introduce your business. We'll review your details, including your ABN and your retail premises or website, and confirm your approval before your first order is processed. We assess all applications at our discretion, and reserve the right to decline an application where we don't feel it's the right fit.

3. Minimum orders and pricing
The minimum order value is $150, inclusive of GST. This applies to your first order and every order after that. Shipping is calculated based on your delivery location and the weight of your order, and will be added to your invoice.

All pricing is in Australian dollars. We may update our wholesale pricing in response to manufacturing cost increases, market conditions, or other business factors, and we'll give you at least four weeks' written notice before any change takes effect. If you've already placed an order before a price change, you'll still pay the price you were quoted.

4. Placing an order
Orders can be submitted via email and must include your business name and ABN, delivery address, the products and quantities you're ordering, and your preferred delivery date. All orders are subject to our acceptance and to stock availability. We make every reasonable effort to keep our full range in stock, but we can't guarantee availability, and we reserve the right to decline, cancel, or adjust an order at our discretion, including where a product is unavailable. If we need to decline, cancel, or change your order, a member of our wholesale team will contact you directly.

5. Payment
We invoice wholesale orders directly to your email. Payment is due in accordance with the terms stated on your invoice. If an invoice becomes overdue, we may pause or decline new orders until the outstanding balance is paid in full.

6. Delivery
We aim to dispatch orders on the same business day they're received, though larger orders may take a little longer to pick and pack. Shipping costs are calculated based on your delivery location and the size of your order, and will be shown on your invoice. Once your order is delivered, risk in the products transfers to you, so please inspect your delivery promptly and let us know of any damage or discrepancy within 48 hours.

7. Storing our products
Our supplements are food-grade products and should be stored in a cool, dry place, away from direct sunlight and out of extreme heat, to preserve their quality until they reach the end customer. As the retailer, you're responsible for maintaining appropriate storage conditions once the products are in your possession.

8. Where you can sell our products
You're welcome to sell Uvolve products through your physical retail premises and through your own retailer website. To protect the consistency of our brand, we don't currently authorise sales through third-party marketplaces such as Amazon or eBay. If you intend to sell our products online, you'll be provided with a separate pricing agreement setting out the terms that apply to online resale, and online sales are conditional on your acceptance of that agreement. If you'd like to sell through a channel that isn't covered here, get in touch and we can discuss it.

9. Returns and faulty products
If a product arrives faulty or damaged, let us know with photos or by returning the item, and we'll replace it or credit your account, with return shipping covered by us.

For change-of-mind or other non-faulty returns, we ask that you contact us within 14 days* of delivery. Products must be unopened, in their original packaging, and in resaleable condition. We may apply a restocking fee to cover handling costs, and return shipping for non-faulty returns is the retailer's responsibility.

10. Our brand and your marketing
Our trademarks, logos, product imagery, and marketing materials remain Uvolve's property. You're welcome to use approved brand assets to support your own marketing, provided you don't alter our product images, descriptions, or claims. If you'd like access to marketing materials, reach out to our team.

11. Keeping wholesale terms confidential

Your wholesale pricing and account terms are specific to your account and shouldn't be shared with other businesses or the public.

12. Our liability to you
Our products come with guarantees that can't be excluded under the Australian Consumer Law. Nothing in these terms is intended to limit those guarantees. Where the law allows it, our liability for any claim relating to the products is limited to replacing the products, supplying equivalent products, or refunding the amount you paid.

13. Ending the wholesale relationship
Either of us can end this arrangement with 30 days' written notice. We may end it immediately if you breach these terms, including through unpaid invoices or unauthorised resale. Any outstanding payments remain due on termination.

14. Changes to these terms
We may update these terms from time to time, and we'll give you 30 days' written notice of any material change. Placing an order after a change takes effect means you've accepted the updated terms.

15. Governing law
These terms are governed by the laws of Australia and the state/territory where our place of business is located (QLD).
